Matters of business – Adoption of the new constitution.
Reason for a new constitution. Under the Incorporated Societies Act 2022, all clubs are required to have a constitution that covers all the requirements of this act and local bylaws. The NZRFU have produced a template for all rugby unions and clubs to follow, most of which is compulsory with some sections optional. We have followed their requirements and included our own rules from our previous constitution with the new requirements with key changes as follows:
1. Clause2.2. Change registered office from Latham St to Clyde Jeffrey Drive Napier.
2. Clause 3.3 (e) Add clause re diversity, equity and inclusion within the club.
3. Clause 4.4 Add life members nominations to go to sub-committee of existing life members for approval before going to a general meeting
4. Clause 5.8 Add ability for members to attend general meetings by electronic means.
5. Clause 6.1 (q) Increase the amount of single item of expenditure for board from $20000 to $40000 and allow for annual increases based on CPI increases. The $20000 figure was effective from our original constitution dated back in 1990 and has never been increased since.
6. Clause 6.8 Change election of board members from 2 board members resigning each year by rotation to all board members are elected annually for a period of 1 year.
7. Clause 14, included as per the NZRFU template, is a very detailed process of Dispute Resolution.
All other sections and rules of our previous constitution have been included, albeit with different wording in many cases, as per the compulsory requirements of this template.
Our new constitution must be adopted at a general meeting and lodged for registration by April 2026
Any issues from this new constitution that need further discussion at the AGM, please advise in lwriting to the club before November 24th 2025.
